1. Acceptance of Terms

By accessing, creating an account on, or using Projekt Network’s skilled-trades networking and recruitment platform, including its website, applications, features, and related services (collectively, the “Service”), you agree to be bound by these Terms and Conditions (“Terms”).

If you use the Service on behalf of a company or another organization, you represent that you have the authority to accept these Terms on its behalf. If you do not agree to these Terms, you must not access or use the Service.

2. Description of the Service

Projekt Network is an Ontario-based technology company that provides a skilled-trades networking and recruitment platform connecting tradespeople, job seekers, employers, and other industry participants.

Important: Projekt Network is not a recruiter, employment agency, employer, or representative of any user. We provide technology that facilitates connections between job seekers and employers. The Service may include job postings, candidate profiles, matching features, communication tools, and other related platform services.

All employment decisions, interviews, hiring processes, compensation arrangements, workplace conditions, and employment relationships are solely between the applicable job seeker and employer. Projekt Network does not guarantee that any user will receive an interview, job offer, candidate, employee, contract, or other opportunity through the Service.

3. User Accounts and Registration

3.1 Account Creation

To access certain features of the Service, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to update that information when necessary to keep it accurate, current, and complete.

You may not impersonate another person, create an account using information you are not authorized to use, or transfer your account to another person without our permission.

3.2 Account Security

You are responsible for maintaining the confidentiality of your password and other account credentials, and for all activity that occurs through your account. You agree to notify us immediately if you become aware of any unauthorized access to or use of your account.

4. User Conduct

4.1 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

  • Violate any applicable federal, provincial, territorial, municipal, or local law or regulation.
  • Infringe, misappropriate, or otherwise violate the intellectual property, privacy, publicity, contractual, or other rights of Projekt Network or any other person.
  • Post, upload, share, reproduce, or distribute copyrighted content without proper authorization, licensing, or another lawful basis.
  • Harass, threaten, abuse, insult, harm, defame, intimidate, or discriminate against another person.
  • Submit false, inaccurate, fraudulent, deceptive, or misleading information.
  • Impersonate another person or misrepresent your identity, qualifications, experience, employer, affiliations, or authority.
  • Attempt to gain unauthorized access to the Service, another user’s account, or any connected system, server, database, or network.
  • Interfere with, disrupt, damage, disable, overburden, or impair the operation or security of the Service.
  • Use automated tools to scrape, copy, harvest, or collect information from the Service without our prior written permission.
  • Post, upload, or share violent, graphic, or disturbing content, including depictions of gore or harm to individuals.
  • Post, upload, or share nudity, sexually explicit content, or pornographic material.
  • Post content that promotes illegal activity, self-harm, or dangerous behaviour.
  • Post or distribute spam, malware, malicious code, scams, phishing attempts, or other deceptive content.
  • Collect, use, or disclose another person’s personal information without authorization or a lawful basis.

4.2 Professional Conduct

Because Projekt Network is a professional networking and recruitment platform, all users are expected to maintain appropriate professional standards. This includes:

  • Providing accurate and truthful information about qualifications, certifications, licences, work experience, and availability.
  • Respecting the privacy, confidentiality, safety, and legal rights of other users.
  • Communicating respectfully and professionally.
  • Complying with applicable human rights, employment, labour, occupational health and safety, and anti-discrimination laws.

You are responsible for ensuring that all content you post, upload, or share through the Service is:

  • Original content created by you;
  • Content you have permission or a valid licence to use;
  • Content in the public domain; or
  • Content used under fair dealing or another exception permitted by applicable copyright law.

You must not post copyrighted or otherwise protected materials without authorization. This may include:

  • Company logos, trademarks, branding materials, or signage you are not authorized to use;
  • Professional photographs, illustrations, graphics, or images;
  • Written content, articles, manuals, plans, drawings, or documentation;
  • Audio or video recordings;
  • Software code, technical specifications, or proprietary information; and
  • Any other work protected by copyright, trademark, trade secret, or other intellectual property law.

5. Job Postings and Applications

5.1 Job Postings

Employers are solely responsible for the accuracy, completeness, legality, and availability of their job postings. Employers must have the authority to post each position and must ensure that every posting:

  • Complies with all applicable employment, labour, human rights, accessibility, pay-transparency, and anti-discrimination laws;
  • Does not contain discriminatory, misleading, deceptive, or unlawful language;
  • Accurately describes the position, duties, location, qualifications, and requirements; and
  • Includes compensation or pay-range information where required by applicable law.

5.2 Job Applications and Candidate Profiles

Job seekers are solely responsible for the accuracy, completeness, and legality of their applications, profiles, and supporting materials. These materials must:

  • Contain truthful information about qualifications, certifications, licences, experience, and employment history;
  • Not contain false, misleading, fraudulent, or materially incomplete statements;
  • Include only information and materials the user has the right to submit; and
  • Comply with all applicable laws and regulations.

5.3 User Verification and Employment Decisions

Projekt Network may offer tools that help users present or verify information, but we do not guarantee the identity, background, qualifications, licensing status, conduct, suitability, or accuracy of any user, profile, application, employer, or job posting. Employers and job seekers are responsible for performing their own due diligence and making their own employment decisions.

6. Privacy and Data Protection

Your privacy is important to us. Our collection, use, retention, and disclosure of personal information are governed by our Privacy Policy, which is incorporated into these Terms by reference.

7. Intellectual Property Rights

7.1 Projekt Network Content

The Service, including its original content, design, branding, software, features, functionality, databases, and other materials provided by Projekt Network, is owned by Projekt Network or its licensors and is protected by applicable copyright, trademark, patent, trade secret, and other intellectual property laws.

Except as expressly permitted by these Terms, you may not copy, modify, reproduce, distribute, sell, license, reverse engineer, or create derivative works from any part of the Service without our prior written permission.

7.2 User Content

You retain ownership of the content you submit, post, or upload to the Service (“User Content”).

By submitting User Content, you grant Projekt Network a worldwide, non-exclusive, royalty-free, transferable, and sublicensable licence to host, store, reproduce, adapt, display, publish, and distribute that content only as reasonably necessary to operate, provide, improve, secure, and promote the Service.

You represent and warrant that you own your User Content or have all permissions and rights required to submit it and grant the licence described above. You remain responsible for your User Content and for any consequences arising from posting or sharing it.

8. Third-Party Content and Services

The Service may contain links to, integrations with, or content from third-party websites, services, employers, users, or other organizations. Projekt Network does not control or endorse those third parties and is not responsible for their content, availability, security, privacy practices, products, services, or conduct.

Your interactions or transactions with third parties are solely between you and the applicable third party and may be governed by additional terms and policies.

9. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Service is provided on an “as is” and “as available” basis. Projekt Network does not make any representation or warranty that the Service will be uninterrupted, secure, error-free, accurate, complete, or suitable for a particular purpose.

Projekt Network does not warrant or guarantee the accuracy of user profiles, job postings, qualifications, communications, employer information, or User Content, or the outcome of any connection, application, interview, hiring process, employment relationship, or other interaction arranged through the Service.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Projekt Network and its affiliates, officers, directors, employees, contractors, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, data, use, goodwill, opportunities, or other intangible losses arising from or related to:

  • Your access to, use of, or inability to use the Service;
  • Any conduct, communication, content, representation, or omission of another user or third party;
  • Any employment, recruitment, contracting, or business decision or relationship;
  • Unauthorized access to or alteration of your account, information, or content; or
  • Any content obtained through the Service.

Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited under applicable law.

11. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Projekt Network and its affiliates, officers, directors, employees, contractors, licensors, and service providers from and against claims, damages, judgments, losses, liabilities, costs, debts, and expenses, including reasonable legal fees, arising from or related to:

  • Your access to or use of the Service;
  • Your User Content;
  • Your violation of these Terms or applicable law;
  • Your infringement or violation of another person’s rights; or
  • Your interactions, transactions, or disputes with another user or third party.

12. Suspension and Termination

12.1 Termination by You

You may stop using the Service and terminate your account at any time by using the account-deletion feature in your settings, where available, or by contacting us.

12.2 Suspension or Termination by Projekt Network

We may restrict, suspend, or terminate your account or access to all or part of the Service if we reasonably believe that you have violated these Terms, created risk or possible legal exposure, engaged in fraudulent or harmful conduct, or threatened the safety, integrity, or operation of the Service or its users.

Where reasonably practicable, we may provide notice before taking action. However, we may act immediately and without prior notice where necessary to protect users, third parties, Projekt Network, or the Service.

If you post or share content that infringes copyright or other intellectual property rights, Projekt Network may take one or more of the following actions:

  • Remove or disable access to the content;
  • Issue a warning or restrict account features;
  • Suspend or terminate the account;
  • Cooperate with a lawful request from a rights holder, court, regulator, or law-enforcement authority; or
  • Take any other action reasonably necessary to protect the Service and the rights of others.

Users may also face claims or legal action directly from copyright or other rights holders.

13. Governing Law

These Terms and any dispute arising from or related to them or the Service will be governed by the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict-of-law principles.

14. Dispute Resolution

Before commencing a formal proceeding, you agree to contact Projekt Network and make a reasonable attempt to resolve the dispute informally.

To the extent permitted by applicable law, any dispute that cannot be resolved informally will be resolved through binding arbitration seated in Ontario, Canada, in accordance with the Arbitration Act, 1991 (Ontario).

This section does not prevent either party from seeking urgent injunctive or protective relief from a court of competent jurisdiction, bringing an eligible claim in Small Claims Court, or exercising any right or remedy that cannot lawfully be waived or restricted, including applicable consumer rights.

15. Changes to These Terms

We may modify these Terms from time to time. If we make a material change, we will provide notice through the Service, by email, or by another reasonable method before the revised Terms take effect, where required by law.

The date at the top of this page indicates when these Terms were last updated. Your continued use of the Service after revised Terms take effect constitutes your acceptance of the revised Terms.

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be modified only to the minimum extent necessary to make it enforceable. If it cannot be modified, it will be severed from these Terms. The remaining provisions will continue in full force and effect.

18. No Waiver

If Projekt Network does not enforce a provision of these Terms, that does not constitute a waiver of the provision or our right to enforce it later. Any waiver must be express and in writing to be effective.

19. Entire Agreement

These Terms, together with the Privacy Policy and any additional terms that expressly apply to a particular feature or Service, constitute the entire agreement between you and Projekt Network regarding your use of the Service and replace any prior agreements or understandings relating to the same subject matter.
